1. Introduction

3. Client Obligations

When engaging our services, you agree to:

• Provide accurate and complete information required for project execution
• Respond to communications and provide feedback in a timely manner
• Make payments as per the agreed payment schedule
• Provide necessary access to systems, accounts, or resources as required
• Ensure all content provided does not infringe on third-party rights
• Not use our services for any illegal or unauthorized purpose

4. Payment Terms

• All prices are quoted in Indian Rupees (INR) unless otherwise specified
• A minimum advance payment of 30-50% is required before project commencement
• Payment milestones will be defined in the project proposal/contract
• Invoices are due within 7 days of issuance unless otherwise agreed
• Late payments may attract interest at 2% per month
• We accept payments via Bank Transfer, UPI, and other standard payment methods
• GST will be charged as applicable

5. Project Delivery & Timelines

• Project timelines are estimates and may vary based on scope changes or delays in receiving client inputs
• Delays caused by the client will extend the delivery timeline accordingly
• We will communicate any anticipated delays as soon as they are identified
• Final delivery is subject to full payment clearance

6. Intellectual Property Rights

Client Ownership: Upon full payment, the client receives full ownership and intellectual property rights of the custom-developed software, designs, and deliverables created specifically for their project.

Our Rights: NeuraSoftTech retains the right to:

• Use generic, non-proprietary code components in other projects
• Showcase the project in our portfolio (unless confidentiality is agreed)
• Retain ownership of pre-existing tools, libraries, and frameworks used

7. Confidentiality

We respect your privacy and confidential information. We agree to:

• Keep all client information, business data, and project details confidential
• Not disclose confidential information to third parties without consent
• Use confidential information solely for project execution purposes
• Sign Non-Disclosure Agreements (NDA) upon request

8. Warranties & Support

Bug-Fix Warranty: We provide a 30-day bug-fix warranty from the date of final delivery for any bugs or defects in the delivered software that were part of the original scope.

Exclusions: The warranty does not cover:

• Issues caused by client modifications or third-party changes
• New feature requests or scope additions
• Issues arising from hosting environment changes
• Problems caused by client-provided content or data

9. Limitation of Liability

To the maximum extent permitted by law:

• NeuraSoftTech shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount paid by the client for the specific service
• We are not liable for damages arising from client's misuse of delivered products
• We are not responsible for third-party service failures (hosting, APIs, etc.)

10. Termination & Refunds

By Client: You may terminate the project at any time with written notice. Payment for work completed up to the termination date is non-refundable.

By NeuraSoftTech: We reserve the right to terminate services if:

• Payment is not received as per agreed schedule
• Client breaches these terms
• Project requirements are deemed unethical or illegal

Refund Policy: Advance payments are non-refundable once work has commenced. Partial refunds may be considered on a case-by-case basis.

11. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Transmit any malicious code or viruses
• Scrape or copy content without permission
• Interfere with the proper functioning of the website

12. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Gorakhpur, Uttar Pradesh, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiations.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on this page. Your continued use of our website or services after changes constitutes acceptance of the modified terms.
